Terms of Use
These Terms of Use (“Terms”) are a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Variance InfoTech Pvt Ltd and Variance Technologies Pty Ltd (collectively, the “Company”, “we”, “us”, or “our”), concerning your access to and use of the ScreenPilot website, cloud software platform, admin console, APIs, and related player applications (collectively, the “Services”).
By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Services.
Supplemental terms posted on the Services from time to time are incorporated by reference. We may update these Terms by posting a revised version and updating the “Last updated” date. Your continued use after changes are posted constitutes acceptance of the revised Terms.
The Services are a software-only digital signage platform. We do not sell, lease, or manage display hardware. You are responsible for procuring compatible devices, network connectivity, and displays.
1. Agreement to terms
The Services are intended for users who are at least 18 years old. Persons under 18 may not register for or use the Services. If you access the Services from outside your home jurisdiction, you are responsible for compliance with local laws.
The Services are not designed to satisfy industry-specific regulatory frameworks (such as HIPAA or FISMA) unless expressly agreed in writing. You may not use the Services in violation of applicable financial, healthcare, or sector-specific regulations.
2. Intellectual property rights
Unless otherwise stated, the Services and all software, source code, databases, functionality, designs, text, graphics, logos, and trademarks (collectively, “Company Content”) are owned by or licensed to us and protected by intellectual property laws.
Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from Company Content except as expressly permitted.
3. User representations
By using the Services, you represent and warrant that:
- Registration information you submit is accurate, current, and complete.
- You will maintain the accuracy of such information.
- You have legal capacity and authority to enter into these Terms.
- You are not a minor in your jurisdiction.
- You will not access the Services through unauthorised automated means.
- You will not use the Services for illegal or unauthorised purposes.
- Your use will not violate applicable law or third-party rights.
If information you provide is untrue or incomplete, we may suspend or terminate your account.
4. User registration
You may need to register to use certain features. You are responsible for safeguarding your password and all activity under your account. We may reclaim or change usernames that we deem inappropriate or misleading.
5. Fees and payment
Some features require a paid subscription. Prices, billing cycles, and available payment methods are shown at checkout or on our pricing page. You agree to provide current, complete billing information and authorise us (or our payment processor) to charge applicable fees.
Subscriptions may renew automatically unless cancelled before the renewal date. Taxes (including GST where applicable) may be added as required by law. We may change prices with notice where required; continued use after a price change constitutes acceptance unless you cancel.
We reserve the right to correct pricing errors and refuse orders placed in error.
6. Free trial
We may offer a 14-day free trial to eligible new accounts. Unless you upgrade to a paid plan before the trial ends, your trial access may be limited or suspended. We may modify or discontinue trial offers at any time.
7. Cancellation
You may cancel your subscription through your account billing settings or by contacting support@screenpilot.live. Cancellation takes effect at the end of the current paid billing period unless otherwise stated. Fees already paid are non-refundable except where required by law.
8. Software license
ScreenPilot includes cloud software and may include downloadable player applications. Unless accompanied by a separate end user license agreement, we grant you a non-exclusive, revocable, personal, non-transferable license to use such software solely in connection with the Services and in accordance with these Terms.
Software is provided “as is” without warranties of any kind, except where prohibited by law. You accept all risk arising from use of the software. You may not reproduce, redistribute, or reverse engineer the software except as permitted by law.
9. Prohibited activities
You agree not to:
- Use the Services for any purpose other than as we make them available.
- Scrape, harvest, or systematically collect data from the Services without permission.
- Circumvent security features or access restrictions.
- Impersonate another person or misrepresent your affiliation.
- Upload malware, spam, or content that infringes third-party rights.
- Interfere with or disrupt the Services or connected networks.
- Reverse engineer or decompile the Services except where permitted by law.
- Use the Services to compete with us or for unauthorised commercial resale.
- Display content on more screens or devices than your subscription permits.
- Use workaround methods to exceed licensed screen, storage, or feature limits.
Violation may result in suspension or termination of your account.
10. Your content
You may upload, schedule, and display content through the Services (“Customer Content”). You retain ownership of Customer Content. You grant us a worldwide, non-exclusive license to host, store, transmit, display, and process Customer Content solely to provide and improve the Services.
You represent and warrant that:
- You own or have rights to use and authorise our use of Customer Content.
- Customer Content does not infringe intellectual property or privacy rights.
- Customer Content complies with applicable law and these Terms.
- Customer Content is not unlawful, defamatory, obscene, harassing, or deceptive.
We may remove Customer Content that violates these Terms or applicable law. You are solely responsible for Customer Content and indemnify us against claims arising from it.
11. Mobile applications
If you access the Services through a mobile application obtained from an app store, your use is also subject to that store’s terms. We grant a limited license to install and use the application on devices you own or control. You must comply with applicable app store rules and third-party service agreements (for example, wireless data terms).
12. Third-party websites and content
The Services may link to or integrate with third-party websites, embeds, or content (including video platforms). We do not control and are not responsible for third-party services. Your use of third-party services is at your own risk and subject to their terms and privacy policies.
13. Privacy
Please review our Privacy Policy, which explains how we collect and use personal information. By using the Services, you agree to our Privacy Policy.
14. Copyright complaints
We respect intellectual property rights. If you believe content on the Services infringes your copyright, send a notice to support@screenpilot.live including: (1) identification of the copyrighted work; (2) identification of the allegedly infringing material and its location; (3) your contact information; (4) a statement of good-faith belief that use is not authorised; (5) a statement under penalty of perjury that your notice is accurate; and (6) your physical or electronic signature.
15. Term and termination
These Terms remain in effect while you use the Services. We may suspend or terminate access at any time for violation of these Terms, non-payment, fraud, or risk to the Services or other users. Upon termination, your right to use the Services ceases immediately. Provisions that by nature should survive (including intellectual property, disclaimers, limitations of liability, and indemnification) will survive termination.
16. Modifications and availability
We may change, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted availability and are not liable for downtime, maintenance, or events beyond our reasonable control.
17. Disclaimer
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT CONTENT WILL DISPLAY CORRECTLY ON EVERY DEVICE OR NETWORK CONFIGURATION.
18. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
19. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, and employees from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, Customer Content, violation of these Terms, or violation of third-party rights.
20. Governing law and disputes
If you are located in India, these Terms are governed by the laws of India and disputes are subject to the exclusive jurisdiction of courts in India, except where mandatory consumer protection law requires otherwise.
If you are located in Australia or elsewhere outside India, these Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of courts in New South Wales, except where mandatory local law requires otherwise.
Before initiating formal proceedings, the parties agree to attempt to resolve disputes informally by contacting support@screenpilot.live for at least thirty (30) days.
21. Miscellaneous
These Terms, together with the Privacy Policy and any order or plan details, constitute the entire agreement between you and us regarding the Services. Our failure to enforce a provision is not a waiver. If any provision is unenforceable, the remaining provisions remain in effect. We may assign our rights and obligations; you may not assign without our consent.
